RecallDock Terms of Use Effective Date: February 16, 2026 These Terms of Use ("Terms") govern your use of RecallDock software, related files, downloads, and related web pages (collectively, "RecallDock" or the "Product"). Warner Web Development LLC ("Company," "we," "our," or "us") provides RecallDock. By downloading, installing, accessing, or using RecallDock, you agree to these Terms. 1) Eligibility and Acceptance You represent that you are legally able to enter into these Terms and will use RecallDock in compliance with applicable laws. If you do not agree, do not use RecallDock. 2) License Subject to these Terms and any paid license limits, we grant you a limited, non-exclusive, non-transferable, revocable license to use RecallDock for your personal or internal business music-production use. You may not sublicense, resell, lease, or distribute RecallDock except as expressly allowed by us in writing. If a license key is issued, it is issued to the purchaser and may not be shared, transferred, or resold except as expressly permitted by us in writing. 3) Trial and Paid Access Any trial limitations (including feature caps) may change at any time. Paid features are enabled only after valid purchase processing by our payment provider. 3.1) Refund Policy All sales are final unless otherwise required by applicable law. Any refund, credit, or pricing adjustment is offered solely at our discretion. Nothing in this section limits non-waivable consumer rights that apply under mandatory law. 4) Your Responsibilities You are responsible for: - maintaining compatible hardware, software, and Ableton configuration; - granting and managing required operating-system permissions; - backing up your projects and system data before use. 5) Prohibited Conduct You may not: - reverse engineer, decompile, disassemble, or attempt to derive source code except where prohibited by law; - remove proprietary notices; - use RecallDock in a way that violates law or third-party rights; - interfere with or attempt to circumvent licensing or technical controls. 6) Third-Party Platforms RecallDock depends on third-party software and platforms (including Ableton Live, plugin formats, macOS, and payment processors). RecallDock may contact update-related services on startup or when requested to check for newer versions. We are not responsible for third-party products, changes, outages, compatibility decisions, or policy updates. 7) Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECALLDOCK IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant uninterrupted operation, error-free performance, or compatibility with all systems, plugins, hosts, or future updates. 8) Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY OR ITS AFFILIATES, CONTRACTORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO RECALLDOCK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO RECALLDOCK WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR RECALLDOCK IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $50. 9) Indemnification You agree to defend, indemnify, and hold harmless the Company from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use or misuse of RecallDock, your violation of these Terms, or your violation of law or third-party rights. 10) Termination We may suspend or terminate your license if you violate these Terms. Upon termination, you must stop using RecallDock and delete all copies in your possession or control, except where law requires otherwise. 11) Governing Law and Venue To the maximum extent permitted by law, these Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in New Jersey, USA, unless mandatory law requires otherwise. 11.1) Export Compliance You may not use, export, re-export, or transfer RecallDock except as authorized by applicable export control and sanctions laws. 12) Changes to Terms We may modify these Terms by publishing an updated version with a new effective date.
